1. About these terms

These Terms of Service (“Terms”) are a legal agreement between you (“you”, “your”, or “Customer”) and Level 1 Virtual Solutions Ltd, a company registered in England & Wales, trading as Batra.ai (“we”, “us”, “our”, or “Company”).

By using our website at batra.ai or engaging our services, you agree to be bound by these Terms. If you do not agree, please do not use our services.

2. Our services

Batra.ai provides the following services:

• Installation services — professional Wi-Fi network installation, CCTV and security camera systems, smart home integration, structured cabling, and general network setup for residential and commercial properties
• AI solutions — AI chatbots, voice receptionists, business process automation, and custom AI integrations

3. Acceptable use

You agree to use the Batra.ai website only for lawful purposes and in accordance with these Terms. You must not:

• Use our services for any illegal or unauthorised purpose
• Attempt to gain unauthorised access to any part of our website or computer systems connected to our services
• Introduce viruses, trojans, worms, or other malicious code
• Interfere with or disrupt the integrity or performance of our website
• Use automated tools (bots, scrapers) to access or collect data from our website without our written consent
• Impersonate any person or entity, or falsely claim an affiliation with any person or entity

4. Intellectual property

4.1 Our intellectual property

The Batra.ai website and all associated content — including design, logos, trademarks, text, graphics, and documentation — are the intellectual property of Level 1 Virtual Solutions Ltd or its licensors. All rights are reserved.

You may not copy, modify, distribute, sell, or lease any part of our website or its content without our prior written consent.

4.2 AI project deliverables

For AI projects (chatbots, automations, integrations), ownership of the deliverables is transferred to you upon full payment. We retain the right to use general techniques and non-proprietary methods in future projects for other clients.

5. Warranties and installation

5.1 Installation warranty

All physical installation work is covered by our workmanship warranty, the terms of which are specified in the warranty certificate issued upon job completion. Warranty periods vary by service type and are detailed in your quote.

5.2 Product warranties

Hardware and equipment supplied by us are covered by the manufacturer’s warranty. We will assist with warranty claims during the warranty period.

5.3 AI project support

AI solutions include a support period as specified in the project quote. Ongoing support and maintenance beyond this period is available through a separate retainer agreement.

6. Limitation of liability

To the fullest extent permitted by law:

• Our total liability arising from or in connection with these Terms or our services shall not exceed the total amount you have paid to us in the 12 months preceding the claim
• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, business interruption, or loss of goodwill
• We shall not be liable for any failure or delay in performing our obligations where such failure or delay results from circumstances beyond our reasonable control (force majeure), including but not limited to natural disasters, pandemics, acts of government, power failures, internet outages, or supplier failures

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by English law.

7. Indemnification

You agree to indemnify and hold harmless Level 1 Virtual Solutions Ltd, its directors, employees, and agents from and against any claims, losses, damages, liabilities, and expenses (including reasonable legal fees) arising from:

• Your breach of these Terms
• Your misuse of our website or services

8. Changes to these terms

We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date at the top of this page. Your continued use of our website after any changes constitutes acceptance of the revised Terms.

9. Governing law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any legal proceedings arising from or relating to these Terms shall be brought exclusively in the courts of England and Wales.

10. Dispute resolution

If a dispute arises in connection with these Terms or our services, we encourage you to contact us first at [email protected] so we can try to resolve it informally.

If we are unable to resolve a dispute informally within 30 days, either party may refer the matter to mediation under the rules of the Centre for Effective Dispute Resolution (CEDR). If mediation fails, either party may bring proceedings in the courts of England and Wales.

Nothing in this clause prevents either party from seeking urgent interim relief (such as an injunction) from the courts at any time.
